Incorporation fees:

A complete package to form a Delaware Corporation is now US$ 599
One person is enough to incorporate a company.

Incorporation fee includes:
  State filing fees,
  registered agent service until March 1- next year for corporations or June 1- next year for LLCs, ($199)
  a certified copy with Apostille (with gold seal), - you need this to open a bank account,
  our service fee.

Also available for a DE company: Boat or Yacht registration

$150 deluxe corporate kit (which includes the corporate seal, bylaws, stock certificates, stock transfer ledger and corporate minutes)
$100 courier delivery of your documents and kit by Airborne Express
NOMINEE director:  $300 / year.
$150 - 3 days expedited service fee: Delaware corporations are formed within 24 hours of receipt of payment and we receive the documents from the state in 2-4 weeks. With expedited service, we will receive all documents in 3 to 4 business days.

Annual fees:
$299 registered agent.
$225 for Ltd (increased from $100 in 2010 ) or $250 for LLC (increased from $200 in 2010), annual fixed state tax. The state fee is due in the first year after the incorporation, in March for Ltd. and June for LLC.

Annual franchise tax for Ltd type of companies, based on authorized shares.

  • 3,000 shares or less (minimum tax) $125.00

  • each additional 10,000 shares or portion thereof add $62.50

  • maximum yearly tax is $165,000.00

We usually file new companies with 1500 shares, to qualify for minimum state tax of $125.
Note: We recommend LLC. type, because starting with 2007, Ltd companies will have to fill a tax report, with director name, address and signature, and the original must be sent to Delaware state registry.

For Corporations, failure to file and/or pay an annual franchise tax report by March 1st will result in a $100 late penalty imposed by the State of Delaware. For LLCs/LPs, failure to pay the annual franchise tax by June 1st will result in a $200 late penalty imposed by the State of Delaware. Interest is also added each month and if the tax and penalties remain unpaid, the company will be voided by the Secretary of State.


The Delaware Secretary of State's Office has released information that, effective July 1 and retroactive to January 1, 2009, the annual franchise tax report filing fee has increased $25. Which means that the total fee to the State of Delaware to file the 2009 annual franchise tax report and pay the annual franchise taxes which will be due March 1, 2010 will increase to $125. This increase does not effect LLCs only corporations. However, we believe the the late penalty for each will increase next year.

Our annual registered agent fee of $199 which has not increased in previous years will remain the same. Also our electronic transmittal fee has not increased and will also remain the same.

Effective August 1, 2009, the State has also increased filing fees, expedited filing fees, fees for Certified Copies, Apostilles and Certificates of Good Standing for all filings with the exception of any new formations, such as new corporations or LLCs. The expedited filing fees for new entities also has not changed.

Even though the fees to file new entities (new corporations or new LLCs) have not increased, the fees to obtain a Certified Copy and Apostilles have increased, therefore our normal package for filing new corporations or LLCs were increase by $50 to $599 since this package includes a Certified Copy with Apostille. The expedited filing fee for new entities also remains the same so there will be no increase to expedite new corporations or LLCs.


Delaware USA phone forwarding service:
You will receive a telephone number in Delaware.

You would need to give us a telephone number where you want to the line to ring and all calls will be automatically forwarded to that line. 
We have a $400 setup fee, plus $50 per month line fee. 
In addition, you will also be responsible for all long distance charges (you will need a credit card to pay for these charges)
We can send you an itemized long distance bill monthly by e-mail attachment. 
We would need a 3 month deposit ($150).

For countries where apostille is not available, because are
not part of Hague Convention number 12: Convention Abolishing the Requirement of Legalization for Foreign Public Documents, the documents can be authenticated by the customer county's consulate or embassy.

The documents would need to be first notarized, then certified by the State of Delaware, then authenticated by the US Department of State and then sent to the consulate for authentication. 
The cost per document would be $350, which would include the fee to the Embassy. 

We do not advise you to open a bank account in US.
A company can have the bank account anywhere else

If you open a bank acc in US , you will need to get the EIN, which imply you will need to file accounting records.


Our standard incorporation service includes preparation and filing of the Articles or Certificate of Incorporation with the State of Incorporation and paying the State Filing fees and any county fees or publishing required.

  • $195 - certificate of good standing (normally only required after at least 6 months of incorporation, since it is obvious that the company is in good standing at incorporation)

  • Change of name of a company: We would need to file an amendment or an amended and restated Certificate of Formation to change the name. The price is the same for either one, the amendment just changes the name, the amended and restated Certificate of Formation changes the name and restates the Certificate of Formation with all other original information if you want to change anything else at that time. The cost to file either one is $740 which would include a Certified Copy with Apostille. If you want it expedited the additional expedite fee would be $150 for 3 days or $225 for one day expedite.
    If you need a new kit the cost would be $150 as usual, plus $100 the courier.

  • Registered Agent Services in all 50 States - If you need a registered agent ( a physical address within the State of Incorporation for service of process), we can provide that service for $199 per year in Delaware and $299 per year in any other State.

Differences between  LLC and LTD:

  • Ltd have SHAREHOLDERS as owners, LLC have MEMBERS

  • Ltd have DIRECTORS, LLC have MANAGERS.
    These names will be in the POA, and they operate the accounts.

  • Annual STATE tax for LTD id $125 and for LLC is $200

  • In the annual state tax form for an LTD you must fill:

  • director name and address,

  • principal place of business outside of Delaware

  • Nature of business.

  • and director must sign

  • The LLC form does not need to be filled or submitted.
    (that's a major advantage for privacy protection)

The annual franchise tax is based on the total number of authorized shares of stock regardless of the par value or capital. It is $90 for the first 10,000 shares of stock authorized plus $50 for each additional 10,000 shares of stock or part thereof.


Key issues you should know:


  1. Delaware is considered the most attractive state in the nation for organizing.

  2. Delaware courts have a reputation of reaching reasonable and fair conclusions when construing the corporation laws.

  3. Only one incorporator is required. A corporation may be the incorporator.

  4. There is no minimum capital requirement.

  5. The franchise tax compares favorably with that of other states (usually $30/year).

  6. For companies doing business outside of Delaware, there is no corporation income tax.

  7. Delaware has no sales tax, personal property tax or intangible property tax on corporations.

  8. No taxation upon shares of stock held by non-residents and no inheritance tax upon non-resident holders.

  9. A corporation may keep all of its books and records outside of Delaware.

  10. You may have a principal place of business/address outside of the State of Delaware as well.

Regarding the Federal taxes: if you are US citizen or US resident (US taxpayer)
you file taxes in the US, a LLC is treated as a partnership and is not subject to corporate income tax.
Any profits or losses are passed through to the members of the LLC to report on their
personal income tax.

The emphasis is placed on shareholder protections to attract the large, public companies that trade shares in the various exchanges across the country. It’s laws regarding corporate takeovers are the most sophisticated in the entire world. There is established legal precedent for any conceivable corporate situation. It is a stable legal environment for many public companies to use as their base.

In our opinion:

In a country were money dictates over politics, there are NO chances that offshore benefits will EVER be cancelled (compared for example with Channel Islands where pressure mounts against offshore benefits).

Delaware Yacht Registration

To register your boat in Delaware, you must incorporate a Delaware LLC first. Check here details.


1. State of Delaware Boat Registration - our fee - $335.00

- The vessel registration fee will depend upon the length of the vessel and whether the client would like a 1 year or 3 year registration.

CLASS A - less than 16':

1 year - $10.00

3 years - $30.00

CLASS 1 - 16' or over and less than 26':

1 year - $20.00

3 years - $60.00

CLASS 2 - 26' or over and less than 40':

1 year - $30.00

3 years - $90.00

CLASS 3 - 40' or over and less than 65':

1 year - $50.00

3 years - $150.00

CLASS 4 - 65' or over and not required to be documented:

1 year - $60.00

3 years - $180.00

2. Federal Documentation - $350.00 

When a vessel is registered with the State of Delaware they will provide the client with the decals for the boat, the registration card, and a computer printout of the registration. For some of our foreign clients we can provide them with a Certificate of Vessel Registration which is a document we prepare with information regarding the boat and it is then notarized. We can not provide power of attorney services nor can bearer shares be issued.

You need to fill this form, and mail it to our Delaware office, with the original bill of sale of the boat (which will be kept by the state registry).
